These Terms and Conditions (the “Terms”) is a legally binding agreement between:

  1. All Textile (“All Textile”, “we”, or “us”), and
  2. you, being a customer or user of our Services and Website (as defined below).

We keep your personal data safe and confidential as described in the Privacy Policy. These Terms, together with the Privacy Policy, Cookies Policy, and any other policy made available on the Website, is a binding contract between Customer and All Textile.

  1. DEFINITIONS
    1. In these Terms the capitalized terms have the following meaning:

“Services” have the meaning given in clause 2.1 below.

“Website” means the website https://alltextile.com and all subdomains of All Textile.

  • ACCEPTANCE TO THE TERMS
    • By accessing our Website, or purchasing our products, you hereby affirm your acceptance and agreement to abide by these Terms, the Privacy Policy, Cookies Policy, any other policy available on the Website, as well as all pertinent laws and/or regulations, which may be applicable from time to time. Furthermore, you acknowledge your responsibility for ensuring compliance with these provisions.
  • CHANGES
    • All Textile may amend or update these Terms at any time and at its sole discretion. Any changes thereto will become effective when a new version of these Terms is made available on the Website. We may notify you about such changes on the Website. Your continued use of our Website, Services and order of our products constitutes your acceptance to a new version of the Terms after they are made available on the Website.

  • DESCRIPTION OF THE SERVICES
    • All Textile hosts and manages this Website containing content, technologies and functions which you can use to order our products (the “Services”).
    • Subject to your compliance with these Terms and applicable laws, the Customer is granted with a non-exclusive, non-transferable, non-sublicensable, revocable, and limited right to access and use the Service.
  • YOUR ACCOUNT
    • Customers can browse the Website without account registration.
    • To order displayed products, Customer needs to set up an account on the Website. When registering an account, you are required to provide full, accurate and complete information about yourself. The account is for your personal use, and you cannot transfer your account to anyone else. You must keep your account details safe.
    • If you suspect that your account is used by an unauthorized third party, you should immediately contact us. Any use of the Services is deemed to be made by you. You shall be solely responsible for any actions (and their consequences) in and with Services through your account, including any transactions made through it.
    • We may suspend your account if we think that your account has been compromised.
    • The Customer may close the account at any time by providing a written notice to us.
  • TERMS AND CONDITIONS RELATED TO THE SALE OF PRODUCTS
    • Order Confirmation
      • Each order that the Customer places constitutes an offer to purchase our products. By placing an order, the Customer confirms its obligation to pay the price, taxes, and possible further fees and expenses applicable on each order.
      • Your order does not mean that we fully and unconditionally accepted it. We are entitled to accept or refuse to process your order at our sole discretion.
      • Once your order is accepted, we will send you a confirmation email.
    • Product Description
      • The product description, photos and other product information appeared on our Website is for general information. Although we do our best to check the accuracy of the information, we accept no responsibility for the accuracy or completeness of the information displayed on the Website.
      • We have made every effort to display the colours and sizes of our products that appear on our Website as accurately as possible. However, the actual colours you see will depend on your monitor. We cannot guarantee that your monitor’s display of any colour will accurately reflect the colour of the product on delivery.
      • If you are not sure about the product and/or its description, please contact us for more details before making any order.
    • Payment Terms
      • All prices are shown on our Website and may exclude taxes and costs the customers will be charged. Such additional costs and expenses can be charged as displayed on the Website upon order submission. In certain cases, taxes and other charges will be collected by third parties separately.
      • If there is any price error, we will send you an email informing of the new price. If you disagree with the price change, we will cancel and refund your order in full.
      • The price excludes a delivery fee which will be calculated based on the delivery address. The full price will be shown at checkout.
      • We process your payments through PayPal and Stripe. Therefore, we do not collect any payment information, such as credit card details, but only receive a notification once the payment has been successfully completed.
      • Any product ordered will become the Customer’s property once the full payment of the purchase price is received by All Textile.
    • Delivery
      • Deliveries are made to the location you specified in the order. When placing the order, you should make sure that you have indicated the correct and valid address. You will still be charged if you provided a wrong address, or you are absent at the time of delivery.
      • The transportation company shall be fully responsible for any loss or damage to the purchased goods during such transportation.
      • The time is not of the essence for delivery of the products. While we cannot guarantee specific delivery times, the provided delivery estimates serve as a general guide for when Customers can expect to receive the order.
      • The products shall be subject to inspection and approval by the Customer. Once you receive the product, you must carefully check the packaging and its content.
      • The Customer may claim for the rejection of all or portion of products and refund in accordance with the Refund and Return Policy below.
    • Refund and Return Policy
      • Returning faulty or incorrect items

All Textile accepts the return of any faulty or incorrect items within 14 calendar days of the delivery date. The Customer should state whether a refund or replacement of any product is required. If the Customer claims a refund, the Customer agrees to provide a description of reason of return and whether a full or partial refund is required. If the Customer fails to provide a description or provides an inaccurate description, All Textile may refuse to provide a replacement or refund.

  • Returns of unwanted items

All Textile accepts the return of unwanted and unused items within 14 calendar days of the delivery date. All items must be in their original packaging and unused. Any returns of items deemed to have been used will be rejected and no refund will be offered.

  • Cancellations

Once an order has been marked as dispatched, it may no longer be cancelled. It may be possible to cancel an order before it is marked as dispatched, but please contact All Textile immediately in such cases to confirm that your order remains eligible for cancellation.

  • Initiating a return

Please contact All Textile by email if you wish to initiate the return of an item. Give us your order number and state whether you require a return, a refund, or a replacement. Then describe the issue that is prompting your request. Note that all refunds are paid into the same account that was used for the original payment.

  • use the Services for any illegal purpose;
  • rent, lease, sell, resell, loan, distribute, or sublicense access to any of the Services;
  • circumvent or disable any security or technological features or measures of the Services;
  • use All Textile’s intellectual property rights without express prior written authorization or in violation of these Terms;
  • copy, distribute, or resell any of the information; audio, visual, and audiovisual works, or other content made available on the Services or compile or collect any content as part of a database or other work;
  • use any automated tool (e.g., robots, spiders) to access or use the Services, or to store, copy, modify, distribute, or resell any Services;
  • use the Services in a manner that overburdens, or that threatens the integrity, performance, or availability of, the Services; or
  • remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on any portion of the Services or any content.
    • Suspension of Use due to Breach of these Terms
      • If the Customer breaches any of these terms and conditions, the Customer’s right to use the Services will be suspended or terminated in accordance with these Terms.
    • Third Party Content
      • Our Website may contain information and allow you to access products and services of third parties (“Third-Party Materials”). Third-Party Materials are those of the respective authors or producers and not of us or our shareholders, directors, officers, employees, agents, or representatives. You may not violate proprietary rights and use any trademark, service mark, or logo of such independent third parties without prior written approval from such parties.
      • We do not control or endorse any Third-Party Materials. We cannot guarantee the accuracy, reliability, quality, or safety of such Third-Party Materials.       • To the full extent permitted by applicable law, the Customer shall defend, indemnify and hold harmless All Textile (and our directors, owners, officers, managers, assigns, employees, consultants, and agents), its affiliates, and its licensors, and each of their respective employees, officers, directors, and representatives from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or relating to any third party claim concerning: (a) Customer’s use of the Services or order of products; (b) Customer’s violation of these Terms, Privacy Policy, or any applicable law; (c) breach of any obligation or duty the Customer owes to a third party.
    • Limitation of Liability
      • ALL TEXTILE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES), RESULTING FROM CUSTOMER’S USE OF THE SERVICES. UNDER NO CIRCUMSTANCES WILL THE TOTAL LIABILITY OF ALL TEXTILE ARISING OUT OF OR RELATED TO THE CUSTOMER’S USE OF THE SERVICES (INCLUDING BUT NOT LIMITED TO WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE AMOUNTS THAT THE CUSTOMER HAS PAID TO ALL TEXTILE DURING THE PRIOR 12 MONTHS UNDER THESE TERMS.
    • Term, Suspension and Termination
      • These Terms become effective upon your use of the Website and are valid until the Customer’s account is terminated.
      • We may suspend or terminate your access to the Services, with or without notification to you, if you violate these Terms or any applicable law; or your actions may cause any harm to us or any third party.
      • Any terms and conditions of these Terms that may survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
    • Notifications
      • The Customer hereby consents and agrees to receive electronic notices related to the Services given to the Customer under these Terms, provided that All Textile reserves the right, in its sole discretion, to communicate with the Customer via mail services using the address under which the Account is registered.
    • Applicable Law; Dispute Resolution
      • These Terms shall be governed and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims). The language of the dispute resolution shall be English.
      • Notwithstanding the specified agreement on jurisdiction, the Customer and All Textile shall, if any dispute arises, attempt to settle it by mutual negotiations.
    • Invalid Provisions
      • If any provision of these Terms is found to be illegal, invalid, or unenforceable under present or future laws, such provisions shall be fully severable, and the remaining provisions shall remain in force and effect. The remaining provisions shall not be affected by illegal, invalid, or unenforceable provision.
    • Entire Agreement
      • These Terms along with the Privacy Policy, Cookies Policy, represent the entire agreement among the parties regarding the subject matter thereof and the parties’ respective obligations.
    • Assignment
      • Neither these Terms nor any right or obligation hereunder may be assigned or otherwise transferred (whether voluntarily, by operation of law or otherwise), without the prior express written consent of the other party. Notwithstanding the foregoing, All Textile may assign, in whole or in part, its rights or obligations pursuant to these Terms to: (i) an affiliate; (ii) any entity in connection with a divestiture, sale, merger or transfer of lines of business, divisions or business units.
    • Force Majeure
      • Neither party will be liable for delays or any failure to perform under these Terms due to causes beyond its reasonable control and to the extent not occasioned by the fault or negligence of the delayed party, including fire; explosion; flood or other natural catastrophe; governmental legislation, acts, orders, or regulation; terrorist acts; or strikes or labour difficulties (each a “Force Majeure Event”). Any delay because of a Force Majeure Event shall last only as long as the Force Majeure Event remains beyond the reasonable control of the delayed party; provided, however, that the delayed party shall use its best efforts to minimize the delays caused by any such Force Majeure Event.
